Introduction

These Terms and Conditions (“Terms”) constitute a legally binding agreement under the Indian Contract Act, 1872, and applicable international laws, governing your use of the SYSCO180 Dispute Resolution & Conflict Management Council’s services (“Services”). “We,” “us,” “our,” or “SYSCO180” refers to the SYSCO180 Dispute Resolution & Conflict Management Council, accessible at www.sysco180.in. “You,” “your,” or “user” refers to any individual, company, organization, bank, or non-banking financial company (NBFC), whether based in India or internationally, competent to enter into contracts under applicable laws in their jurisdiction.

By accessing or using our Services, including online dispute resolution (ODR) methods such as mediation, arbitration, conciliation, negotiation, conflict coaching, or consultation, you agree to these Terms and the SYSCO180 Privacy Policy (“Policy”), available at www.sysco180.in. If you disagree with these Terms, you must refrain from using the Services. SYSCO180 reserves the right to amend these Terms or the Policy at its discretion, with changes effective immediately upon posting on our website. You are responsible for reviewing the latest version, indicated by the date at the bottom of this document.

SYSCO180 provides accessible, fair, and efficient dispute resolution services through its ODR platform, designed for both national and international users, promoting collaboration, compliance with organizational and regulatory standards, and adherence to global best practices in dispute resolution.

Eligibility

Our Services are available to:

• Individuals who are at least 18 years old and competent to contract under the Indian Contract Act, 1872, or equivalent laws in their jurisdiction.

• Companies, organizations, banks, or NBFCs, whether based in India or abroad, with legal capacity to enter contracts. Minors (under 18) may participate only with the consent and supervision of a parent or guardian who accepts these Terms. International users must ensure compliance with their local laws when accessing our Services.

Registration and Access

To use SYSCO180’s Services, you must provide accurate and complete information, including your name, contact details, organizational role (if applicable), and email address, via the registration form on our platform. International users may also need to provide additional details, such as country of residence or business registration information, to comply with jurisdictional requirements. You agree to promptly update SYSCO180 of any changes to your information. Access to certain Services, such as mediation camps or international arbitration, may require pre-registration or on-site enrolment.

Account Security

If provided with an account for accessing Services, you are responsible for safeguarding your username and password. Notify SYSCO180 immediately at info@sysco180.in if you suspect unauthorized access, forget your credentials, or identify security vulnerabilities. SYSCO180 is not liable for losses resulting from your failure to secure your account. International users must comply with any additional security protocols specified during registration.

Communication Consent

Service Fees

SYSCO180 strives to make dispute resolution accessible. Most Services, such as mediation camps and consultations, are offered free of charge or at minimal cost. For specialized Services (e.g., advanced training, international arbitration, or cross-border mediation), fees may apply, payable in Indian National Rupees (INR) or equivalent foreign currency (e.g., USD, EUR) via:

• UPI (for Indian users)

• International wire transfer (for non-Indian users) Payments are processed through secure gateways, subject to the terms of your financial institution. You warrant that payment information is accurate and that charges will be honoured. SYSCO180 may refuse transactions from users with a history of fraudulent or questionable payments. Currency conversion fees or international transaction charges, if applicable, are your responsibility.

Cancellation and Refund Policy

You may cancel participation in paid Services by emailing info@sysco180.in with details and a valid reason. Fees for paid Services are non-refundable unless SYSCO180 fails to deliver the Service or rejects your request outright. Free Services may be cancelled without penalty. For international users, refund processing may be subject to additional banking or jurisdictional delays.

Privacy and Confidentiality

SYSCO180 prioritizes the confidentiality of personal information and dispute-related data, adhering to the Information Technology Act, 2000, RBI guidelines (for Indian users), and applicable international data protection laws (e.g., GDPR for EU users). All ODR proceedings, including mediation and arbitration, are confidential, except as required by law or with your consent. User Responsibilities

You agree to use SYSCO180’s Services and website lawfully and respectfully, in compliance with Indian laws and regulations in your jurisdiction. You shall not:

• Harass, defame, or violate the rights of others.

• Share inappropriate, unlawful, or offensive content.

• Breach organizational policies, SYSCO180 Dispute Resolution Rules, or applicable laws.

• Attempt to disrupt or compromise SYSCO180’s systems or security.

You are responsible for the accuracy and legality of any content you provide, such as dispute summaries or feedback, and for ensuring compliance with your local laws.

Prohibited Activities

You may not:

• Use another’s information without permission.

• Share harmful, defamatory, or illegal content.

• Infringe intellectual property rights.

• Introduce viruses or malicious code.

• Engage in activities that threaten the security, public order, or international relations of India or any other jurisdiction. International users must ensure their activities comply with both Indian and their local legal frameworks.

Intellectual Property

SYSCO180 owns all intellectual property rights in its Services, website, and materials, including copyrights, trademarks, and designs, unless otherwise stated. You may not reproduce, distribute, or modify SYSCO180’s content without prior written permission. Content you provide (e.g., dispute details) remains your responsibility, but you grant SYSCO180 a worldwide, non-exclusive, royalty-free license to use it for delivering Services and improving our platform.

Limitation of Liability

SYSCO180’s Services are provided “as is” without warranties, express or implied, except those required by applicable law. We do not guarantee uninterrupted access, error-free systems, or specific outcomes. SYSCO180 is not liable for direct, indirect, or consequential damages (e.g., loss of data, business interruption) arising from Service use, except where prohibited by law. If this limitation is unenforceable, our liability is capped at the fees paid for the Services. You use SYSCO180’s Services at your own risk.

No Guarantees

While SYSCO180 strives to deliver professional and effective dispute resolution, we do not guarantee specific results. Outcomes depend on the parties’ cooperation and the nature of the dispute. Services are provided in good faith, compliant with Indian laws and international ODR standards.

Indemnification

You agree to indemnify SYSCO180 and its representatives against any claims, losses, or damages (including legal fees) arising from your breach of these Terms, misrepresentation, or failure to comply with obligations under Indian or applicable international laws.

Termination

SYSCO180 may terminate or suspend your access to Services without notice for violations of these Terms, misuse, or operational reasons. You may discontinue using Services at any time. Termination does not affect obligations accrued prior to termination.

Dispute Resolution

Disputes arising from these Terms or Services shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996 (for Indian users) or the UNCITRAL Arbitration Rules (for international users). A sole arbitrator, appointed by SYSCO180, will conduct proceedings electronically, with Mumbai, India, as the seat and English as the language. Indian law governs, unless otherwise required by the user’s jurisdiction for international disputes. Each party bears its own costs. If electronic arbitration is not feasible, proceedings will occur in Mumbai. For international disputes, parties may mutually agree on an alternative seat or institutional rules (e.g., SIAC, ICC).

Governing Law

These Terms are governed by Indian law for Indian users. For international users, Indian law applies to the extent it does not conflict with mandatory provisions of their local jurisdiction. Courts in Mumbai have exclusive jurisdiction over disputes not resolved through arbitration, unless otherwise required by international law.

Entire Agreement

These Terms, the Privacy Policy, and SYSCO180’s Dispute Resolution Rules form the complete agreement between you and SYSCO180, superseding all prior communications.

Severability and Waiver

If any provision is found invalid, the remaining provisions remain effective. SYSCO180’s failure to enforce a provision does not waive its rights unless stated in writing.

Force Majeure

Neither party is liable for delays caused by uncontrollable events, such as natural disasters, government actions, or technological disruptions, whether in India or Internationally.
